Terms and conditions of service
The agreement between you and us for using the platform: accounts, acceptable use, your content, availability, fees, liability and Kenyan law.
The legal documents
Who we are and what these terms cover
These terms are an agreement between you and [Company legal name], a company registered in Kenya under number [Company registration number], with its registered office at [Registered address] ("we", "us"). They cover the website, the 3D planning pages, the dashboard, client view links, proposals, the seat map and the embed (together, "the service").
If you use the service for an organisation, you confirm that you may accept these terms for it, and "you" includes that organisation.
Accounts
- You need an account to create projects. Give accurate details and keep your password to yourself.
- You are responsible for what happens under your account. Tell us at [Privacy contact email] if you think someone else has used it.
- Demo version: accounts, projects, holds and sales are currently kept in the browser you use, not on our servers. Clearing your browser data deletes them. Keep your own backups (the layout file) until cloud accounts launch (see the roadmap).
- You must be at least 18, or the age of majority where you live, to open an account.
Acceptable use (summary)
You agree not to misuse the service. In short: no unlawful, harmful or deceptive content; no attempts to break, overload or get around the security of the service; no scraping or reselling it without permission; no uploading content you have no right to use. The full rules are in the acceptable use policy, which forms part of these terms.
Your content and licensed 3D models
- You own your content. Projects, layouts, guest lists, proposals, uploaded images and 3D models ("your content") stay yours.
- You give us a limited licence to host, copy, process and display your content only as needed to run the service for you and the people you share it with.
- Licensed models: if you upload 3D models or artwork licensed from a third party (for example a marketplace purchase), you are responsible for the licence allowing that use, including showing it to your clients. We do not publish licensed models on public pages.
- Your clients' and guests' personal data: when you upload guest lists or sell tickets, you are the controller of that data and we process it for you under the data processing addendum.
- Feedback you send us may be used to improve the service without obligation to you.
Our content
The software, the templates, the venue models we built, the design and the brand are ours or our licensors'. You may use templates and venue models inside the service for your events and show them to your clients. You may not extract them for use elsewhere without our written permission.
Planning figures are estimates
Capacities, egress and evacuation times, sound coverage, power, rigging loads and equipment counts are planning estimates from the data in the model. They are not engineering, structural, fire-safety or licensing advice and do not replace the sign-off of a qualified person or the relevant authority.
Availability and changes
The service is offered as a demo while it is being built. We aim to keep it available but do not promise uninterrupted access, and features may change or be withdrawn. We will give reasonable notice of changes that materially reduce what a paid plan includes.
Fees
The demo is free. Paid plans, their prices and billing terms are [Fees: to be set before launch] and will be shown before you subscribe. Prices on the website marked as examples are not offers.
Liability
- Nothing in these terms limits liability that cannot be limited under Kenyan law, including for fraud or for death or personal injury caused by negligence.
- Otherwise, we are not liable for indirect or consequential loss, lost profit, lost revenue or lost data, or for decisions made on planning estimates without professional sign-off.
- Our total liability in any 12 months is limited to the fees you paid us in that period, or KES [amount] if you use the free demo.
Suspension and termination
You may stop using the service at any time. We may suspend or close an account that breaks these terms or puts the service or other users at risk, and will tell you why unless the law prevents it. On closure you can export your content for 30 days where the service stores it.
Governing law and disputes
These terms are governed by the laws of Kenya. Before going to court, both sides will try to settle a dispute in good faith for 30 days, then by mediation in Nairobi. If that fails, the courts of Kenya have jurisdiction. Consumers keep any rights they have under the Consumer Protection Act, 2012.
